**Wholesale Agreement Policy Terms and Conditions**

**Intended Use Clause: **

1. By purchasing our wholesale products, you agree that the products provided by Butters Barkery & Pawtisserie are intended for individual resale only. Purchaser agrees not to bundle, package, or sell the products in combination with products from other manufacturers without the express written consent of Butters Barkery & Pawtisserie*

*Purchaser acknowledges that any resale of Butters Barkery & Pawtisserie products in conjunction with products from other manufacturers without prior written approval constitutes a breach of this agreement. *

*Butters Barkery & Pawtisserie reserves the right to terminate this agreement and pursue legal remedies in the event of a breach of this clause. *

2. **Online Sales Restriction**

*Purchaser agrees not to sell or offer for sale any products purchased from Butters Barkery & Pawtisserie on any online platform, including but not limited to websites, e-commerce platforms, and online marketplaces, without our express written consent. *

*Prior written consent for online sales must be obtained from Butters Barkery & Pawtisserie.. Any violation of this clause constitutes a breach of the agreement between the parties. *

*Butters Barkery & Pawtisserie reserves the right to terminate this agreement and pursue legal remedies in the event of a breach of this clause. *


**Manufacturing and Private Label Policy Terms and Conditions**

1. **Payment Terms:**
- A 50% down payment is required within 7 days of receipt of the invoice to initiate production.
- The remaining balance of the invoice is due within 7 days of receipt of the order.

2. **Late Payment Policy:**
- Payments made after the due date are subject to a late fee of 5% per month.

3. **Cancellation Policy:**
- Once production has commenced, orders cannot be cancelled, altered, or modified. It is essential to note that once an order enters the production phase, it is considered final and cannot be cancelled under any circumstances.

4. **Responsibility of Timely Payment:**
- Customers are responsible for ensuring timely payment within the specified 7-day timeframe to avoid incurring late fees.

5. **Quality Control:**
- We maintain strict quality control standards throughout the manufacturing process to ensure the highest quality of products. However, customers are encouraged to inspect the final product upon receipt and notify us immediately of any concerns or discrepancies.

6. **Delivery and Shipping:**
- Delivery timelines and shipping costs will be communicated upon confirmation of the order. Customers are responsible for any additional shipping fees or taxes incurred.

7. **Governing Law and Dispute Resolution:**
- These terms and conditions are governed by the laws of the State of Illinois, United States of America. Any disputes arising out of or in connection with these terms shall be resolved through amicable negotiation. If the parties are unable to reach a resolution, all disputes shall be exclusively resolved by the courts of Knox County, Illinois, USA.

8. **Customer Satisfaction:**
- We strive to ensure customer satisfaction with our products and services. Please contact us if you have any questions, concerns, or special requests regarding your order.

9. **Responsibility for Labeling**

-Should you choose to repackage the treats or market them under your own brand name, you assume responsibility for labeling the products accordingly. We are pleased to offer custom label creation services as a nominal fee.
